BeenaOnline.com will load all content available of your company's information by scanning, storage of unlimited data which is equivalent to hosting services at all channels assigned and allows visitors to see content available via Internet, mobile and other technology features, subject to the terms of this agreement.

Your participation toward all channels is subject to BeenaOnline.com's approval after review and your continued compliance with stated requirements. BeenaOnline.com reserves the right not to accept your company's information based on non-relevance content related to business to business. Furthermore, BeenaOnline.com reserves the right to adapt to its listed channels by keeping the focus solely on business to business only and the right to modify listed guidelines from time to time. A business entity entering information of their company must be a legal establishment registered in the USA.

Should you are accepted into BeenaOnline.com's channels, you agree to follow the format outlined as shown in the guideline as well as the works that you would like to include to all channels. The terms and conditions is provided "as is" and BeenaOnline.com makes no warranty, express or implied, including without limitation with respect to the terms and conditions, and expressly disclaims the warranties or conditions of non-infringement, merchant ability and fitness for any particular purpose.

The limitation of liability except for any indemnification and confidentiality obligations hereunder, (i) in no event shall either party be liable under this agreement for any consequential, special, indirect, exemplary, or punitive damages whether in contract, tort or any other legal theory, even if such party has any limited remedy and (ii) BeenaOnline.com's aggregate liability to you under this agreement for any claim is limited one thousand dollars ($1000). Each party acknowledges that the other party has entered into this Agreement relying on the limitations of liability stated herein and that those limitations are an essential basis of the bargain between the parties. Without limiting the foregoing and except for payment obligations, neither party shall have any liability for any failure or delay resulting from any condition beyond the reasonable control of such party, including but not limited to governmental action or acts of terrorism, earthquake or other acts of God, labor conditions, and power failures.

Yourself along with the company you represent and warrant that (a) You are at least 18 years of age, (b) all of the information provided by yourself and the company's behalf agreeing to terms and conditions and to include in the channels is to your best current update; (c) Yourself and on the company's behalf hold the necessary rights, including all intellectual property rights, in and to the Authorized Content and Your Brand Features to enter into this Agreement and grant the rights granted herein, and (d) Yourself and on the company's behalf have the power and authority to agree to this terms and conditions, and to grant the rights granted herein and does not violate any applicable law, statute, ordinance or regulation and does not breach and has not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories.

Yourself along with the company agree to indemnify, defend and hold BeenaOnline.com, its agents, affiliates, subsidiaries, directors, officers, employees, and applicable third parties including relevant advertisers, syndication partners, licensors, licensees, consultants and contractors harmless from and against any and all third party claims, liability, loss, and expense including damage awards, settlement amounts, and reasonable legal fees, brought against any parties of BeenaOnline.com and its supporting parties, arising out of, related to or which may arise from using BeenaOnline.com's channels, the content, your company's information, and/or your breach of any term of this terms and conditions.

Yourself along with the company you represent may terminate this terms and conditions with or without cause within 20 days prior notice to BeenaOnline.com. BeenaOnline.com may at any time, in its sole discretion terminate the use of participation of terms and conditions with respect to all channels with function of add, edit and or delete. For any reason of termination of this terms and conditions by either party, BeenaOnline.com shall use commercially reasonable efforts, within 20 days to cease to serve and display content pages fully to end users of BeenaOnline.com's channels.

BeenaOnline.com may retain and use for its own purposes all relevant information of your company, including but not limited to contacts details including company and billing information. BeenaOnline.com may disclose such information to third parties for the purpose of approving and enabling your company's information, including to third parties that reside in jurisdictions with less restrictive data laws not associated with your location of business operation. BeenaOnline.com may also provide information in response to valid legal process to establish or exercise its legal rights to defend again legal claims. Such procedures includes subpoenas, search warrants and court orders. BeenaOnline.com disclaims all responsibility, and will not be liable to. BeenaOnline.com may share aggregate information but limited to personally identifiable of your company with advertisers, business partners, sponsors, and other third parties.

BeenaOnline.com is not responsible for the content but your company is along with the responsibility of yourself that functions the service of add, edit and or delete. Yourself along with your company shall not, and shall not authorize or encourage any third party to directly or indirectly generate queries, impressions of or clicks on any advertisements through any automated, deceptive, fraudulent or other illegal/invalid means, including but not limited to through repeated manual forms of clicks, the use of spider, robot or other automated query tools and or computer generated search requests, and or the fraudulent use of other search engine optimization services and or software. BeenaOnline.com reserves the right to investigate, at its own discretion, any activity that may violate this agreement, including but anything related to your company's content loaded to the channels of BeenaOnline.com.

This terms and conditions shall be governed by the laws of the state of New York, except for its conflicts of laws principles. Any dispute or claim arising out of or in connection with this terms and conditions shall be adjudicated in Manhattan, New York. Any modification of this terms and conditions must be made in a writing constitutes the entire agreement between the parties with respect to the subject matter hereof. Any modifications to this terms and conditions must be made in writing executed by both parties. Notwithstanding the foregoing, BeenaOnline.com may assign this terms and conditions to any third parties at any time without notice. The relationship between BeenaOnline.com and yourself representing the company is not one of a legal partnership relationship, but is one of independent contractors.
